Terms of Service
The agreement between you and Reconcily.

These Terms of Service ("Terms") govern your access to and use of reconcily.ai and the Reconcily application (the "Service"), provided by LiquorSensor Inc, a Delaware corporation doing business as Reconcily.ai ("Reconcily", "we", "us"). By using the Service you agree to these Terms and to our Privacy Policy.
1. The Service
Reconcily is an automated bookkeeping and audit-readiness tool. It reads documents from sources you connect (email inboxes, uploaded files, and bank/card feeds), matches them to your transactions, flags missing records, and produces reconciled books and exports such as a Schedule C worksheet.
2. Not professional advice
Reconcily does not provide tax, legal, accounting, or financial advice. Outputs (including categorizations, reconciliations, and tax-form worksheets) are automated aids that you are responsible for reviewing before relying on or filing them. Where a plan includes human review (e.g., Concierge), that review is performed within the agreed scope and does not transfer responsibility for your filings to us. We do not guarantee any tax outcome or the result of any audit.
3. Eligibility & accounts
You must be at least 18 and able to form a binding contract. You are responsible for your account credentials and for all activity under your account, and you agree to provide accurate information and keep it current.
4. Connected accounts & your authorization
When you connect a mailbox, cloud drive, or import a feed, you represent that you are authorized to do so and you grant us permission to access that content on a read-only basis to provide the Service. You can disconnect a source at any time.
5. Acceptable use
- Don't use the Service unlawfully, or upload content you have no right to.
- Don't attempt to breach security, probe, scrape, or disrupt the Service, or reverse-engineer it except as permitted by law.
- Don't use the Service to build a competing product, or resell it except under an authorized firm/partner plan.
6. Fees & billing
Paid plans are billed as described at the time of purchase. Some plans are one-time (e.g., Audit Rush) and others are subscriptions. Except where required by law or stated otherwise, fees are non-refundable. Metered usage (e.g., document overages) is billed at the rates shown on our pricing pages. We may change prices on a prospective basis with notice.
7. Intellectual property
We and our licensors own the Service and all related IP. You retain ownership of your data (your documents, transactions, and outputs). You grant us a limited license to process your data solely to provide and improve the Service, consistent with our Privacy Policy.
8. Third-party services
The Service relies on third parties (e.g., AI/OCR providers, payment processing, cloud hosting). Your use may be subject to their terms, and we are not responsible for third-party services.
9. Disclaimers
The Service is provided "as is" and "as available," without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, accuracy, and non-infringement, to the fullest extent permitted by law.
10. Limitation of liability
To the maximum extent permitted by law, Reconcily will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for lost profits or data. Our total liability for any claim relating to the Service is limited to the amounts you paid us for the Service in the 12 months before the claim.
11. Indemnification
You agree to indemnify and hold Reconcily harmless from claims arising out of your data, your use of the Service, or your breach of these Terms.
12. Termination
You may stop using the Service at any time. We may suspend or terminate access for breach of these Terms or to protect the Service. On termination, your right to use the Service ends; data handling follows our Privacy Policy.
13. Governing law & disputes
These Terms are governed by the laws of the State of Delaware, without regard to conflict-of-laws rules. The parties submit to the state and federal courts located in New Castle County, Delaware, except where applicable law provides otherwise.
14. Changes
We may update these Terms; we will post the new date above and, for material changes, provide additional notice. Continued use after changes means you accept them.
